1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Portage Development Services LLC (“Company,” “we,” “us,” or “our”), the operator of Shroud (shroud.us). By accessing or using Shroud, you agree to be bound by these Terms. If you do not agree, you must not access or use our services.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Continued use of Shroud after such notice constitutes acceptance of the updated Terms.
2. Description of Service
Shroud is a confidential GPU compute and AI inference platform. We provide:
- • AI inference access via API, processed within Trusted Execution Environments (TEEs) for hardware-level confidentiality
- • Open-source and proprietary model inference services
- • Raw GPU compute rental for user-defined workloads
- • Compute Unit (CU) billing and balance management, including auto-topup
Shroud is currently in open beta. Features, availability, pricing, and functionality may change without prior notice during this period. We make no guarantees of continuous or uninterrupted availability.
3. Eligibility and Account Registration
You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction to use Shroud. By using our services, you represent and warrant that you meet these requirements.
You agree to:
- • Provide accurate, current, and complete information during registration
- • Maintain the security of your account credentials and API keys
- • Notify us immediately at info@alphaton.capital of any unauthorized access to your account
- • Accept responsibility for all activity conducted under your account
We reserve the right to refuse registration or suspend accounts at our sole discretion.
4. Payments and Billing
4.1 Compute Units and Pricing
Services are billed in Compute Units (CUs). Current pricing, CU conversion rates, and applicable fees are published on shroud.us and are subject to change with reasonable advance notice. All prices are stated in USD or equivalent accepted currencies.
4.2 Payment Methods
We accept the following payment methods:
Standard payments (via Stripe):
- ○ Credit and debit cards
- ○ USDC stablecoin (Ethereum, Solana, Polygon, Base networks) — subject to Stripe approval
Agent and programmatic micropayments (via x402 protocol):
- ○ TON (Toncoin) — native TON blockchain payments
- ○ USDT-TON — Tether stablecoin on the TON network
x402 payments are available to both human developers and autonomous AI agents making programmatic API calls. x402 transactions settle on-chain and are independent of Stripe. TON and USDT-TON payments via x402 are subject to applicable regulatory requirements in your jurisdiction. It is your sole responsibility to verify that sending or receiving these assets is lawful where you operate.
4.3 Auto-Topup
If you enable auto-topup, you authorize us to automatically charge your designated payment method when your CU balance falls below a threshold you configure. You may disable auto-topup at any time from your account settings. We are not liable for charges incurred prior to your disabling this feature.
4.4 Refunds and Cancellations
Refunds are evaluated on a case-by-case basis. Because compute resources are consumed upon use, we generally do not issue refunds for completed workloads or consumed CUs. If you believe a charge was made in error, contact us at info@alphaton.capital within 30 days of the charge. We will review and respond within 10 business days. Approved refunds will be credited to your original payment method or account balance.
4.5 Disputed Charges
Before initiating a chargeback with your card issuer or bank, we encourage you to contact us directly at info@alphaton.capital. Fraudulent or unjustified chargebacks may result in immediate account suspension and recovery of associated fees.
4.6 Taxes
You are responsible for all taxes, duties, and levies applicable to your use of Shroud in your jurisdiction. Displayed prices do not include VAT or other applicable taxes unless explicitly stated.
5. Acceptable Use Policy
You agree to use Shroud only for lawful purposes and in accordance with these Terms. You must not use Shroud to:
- • Violate any applicable local, national, or international law or regulation
- • Generate, transmit, or store content that is illegal, abusive, defamatory, obscene, or that facilitates harm to any person
- • Produce, distribute, or solicit child sexual abuse material (CSAM) or any content that sexually exploits minors
- • Develop or deploy systems intended to conduct cyberattacks, exploit vulnerabilities, or circumvent security controls
- • Resell, sublicense, or redistribute access to Shroud without our prior written consent
- • Attempt to reverse-engineer, decompile, or extract model weights, system prompts, TEE image contents, or infrastructure configurations
- • Engage in scraping, bulk data extraction, or automated abuse of our API beyond documented rate limits
- • Violate Stripe’s Acceptable Use Policy with respect to any payment activity on the platform
- • Interfere with or disrupt the integrity or performance of Shroud or its underlying infrastructure
Violation of this policy may result in immediate account suspension or termination without refund.
6. Selective Disclosure and TEE Architecture
Shroud uses a Selective Disclosure Protocol that gives you control over which usage metadata the Shroud gateway (shroud-go) can observe. This is enforced at the hardware level by the Trusted Execution Environment (TEE) — not by policy alone.
By default, only the minimum required field (total_tokens, model) is disclosed to the gateway. You may configure additional fields to be disclosed (such as prompt_tokens) via the SDK. The TEE enforces this configuration; the gateway cannot access fields you have not permitted.
Full usage data (all token counts, costs, and timing) is always available to you via the encrypted SDK channel.

7. Intellectual Property
All intellectual property rights in Shroud, including software, infrastructure, documentation, trademarks, and proprietary AI models, are owned by Portage Development Services LLC or its licensors. Nothing in these Terms grants you any ownership rights.
You retain ownership of any input data you submit to Shroud. You grant us a limited, non-exclusive, royalty-free license to process your input data solely for the purpose of delivering the services you request.
Outputs generated by Shroud in response to your inputs are provided subject to any applicable open-source model licenses. We make no representation that outputs are free from third-party intellectual property claims.
8. Data Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, available at shroud.us/privacy. The Privacy Policy is incorporated into these Terms by reference. By using Shroud, you consent to the data practices described therein.
9. Disclaimers and Limitation of Liability
9.1 No Warranty
Shroud IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PORTAGE DEVELOPMENT SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF SHROUD.
Our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the service shall not exceed the greater of (a) the total fees paid by you to us in the twelve (12) months preceding the claim, or (b) USD $100.
10. Indemnification
You agree to indemnify, defend, and hold harmless Portage Development Services LLC, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of Shroud; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.
11. Termination
We may suspend or terminate your account and access to Shroud at any time, with or without cause and with or without notice. Upon termination, your right to use the service ceases immediately. Sections 7, 9, 10, 12, and 13 survive termination.
You may close your account at any time by contacting info@alphaton.capital. Any unused CU balance remaining at termination will be evaluated for refund at our discretion, subject to Section 4.4.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts of Delaware, and you consent to personal jurisdiction therein.
For disputes under USD $10,000, you agree to attempt informal resolution by contacting info@alphaton.capital before initiating formal proceedings. Nothing in this section limits your rights under applicable consumer protection laws in your country of residence.
13. General Provisions
Entire Agreement.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Portage Development Services LLC regarding your use of Shroud.
Severability.
If any provision is found unenforceable, the remaining provisions continue in full force.
Waiver.
Failure to enforce any right does not constitute a waiver of that right.
Assignment.
You may not assign these Terms without our prior written consent. We may assign freely.
Language.
These Terms are provided in English. Any translated versions are for convenience only; the English version controls.
